These Terms and Conditions (the “Terms”) govern your access to and use of www.fiftystonescapitalgroup.com and any webpages, forms, portals, calculators, content, or other online features that link to these Terms (collectively, the “Site”). The Site is operated by Fifty Stones Capital Group and its applicable affiliates (collectively, “Fifty Stones,” “Company,” “we,” “us,” or “our”).

Please read these Terms carefully. By accessing or using the Site, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not access or use the Site.
 

1. Eligibility and Authority

You may use the Site only if you are at least 18 years old and legally capable of entering into a binding agreement. If you use the Site on behalf of a company, partnership, trust, fund, limited liability company, or other entity, you represent and warrant that you are authorized to bind that entity to these Terms. In that event, “you” and “your” include both you and the entity you represent.
 

2. Business-Purpose Financing Only

The Site is intended for commercial real estate professionals, business owners, investors, sponsors, developers, brokers, and other persons seeking or referring financing for business or commercial purposes. Unless expressly stated otherwise in a separate written agreement, Fifty Stones does not offer through this Site loans primarily for personal, family, or household purposes or loans secured by owner-occupied residential property.

Loan products and services may not be available in every state, for every property type, or to every applicant. Availability is subject to applicable law, licensing or registration requirements, transaction structure, collateral location, underwriting criteria, and other restrictions.
 

3. No Offer, Approval, or Commitment to Lend

The Site and its content are provided for general informational purposes only. Nothing on the Site constitutes:

• an offer, solicitation, approval, or commitment to make or arrange a loan;

• a promise that financing will be available on any stated terms or within any stated timeframe;

• a representation that any transaction will qualify for financing;

• a binding rate lock, term sheet, loan agreement, or other financing obligation; or

• legal, tax, accounting, investment, appraisal, brokerage, or other professional advice.

Submitting an inquiry, application, deal summary, or supporting document does not obligate Fifty Stones to evaluate, approve, reserve capital for, or fund a transaction. Any indication of interest, preliminary quote, soft quote, discussion, proposal, or draft term sheet is nonbinding unless it expressly states otherwise and is executed by an authorized representative of Fifty Stones.

Only the express terms of a written commitment letter, engagement agreement, or definitive loan document signed by an authorized representative of Fifty Stones may create an obligation concerning a financing transaction. Any such obligation remains subject to the conditions, qualifications, due diligence requirements, and other terms stated in the applicable document.
 

4. Loan Information, Rates, and Calculators

Loan amounts, leverage ratios, rates, fees, timelines, structures, and other financing information displayed on the Site are illustrative and may be changed, withdrawn, or restricted at any time without notice. Actual terms depend on, among other matters, collateral, location, valuation, lien position, borrower and guarantor creditworthiness, liquidity, net worth, experience, business plan, market conditions, due diligence, legal review, and the proposed exit strategy.

Any calculator, estimate, scenario analysis, or projected payment shown on the Site is provided solely for general illustration. Results may exclude fees, reserves, escrows, default interest, extension charges, third-party costs, taxes, insurance, legal expenses, and other transaction-specific amounts. Calculator results are not an annual percentage rate, disclosure, quote, approval, or commitment.

You should independently evaluate all financing terms and consult your own legal, tax, accounting, and financial advisers before entering into a transaction.
 

5. Applications, Submissions, and Deal Materials

You may be permitted to submit information through forms, email, document-upload tools, or other Site features. You represent and warrant that:

• all information you provide is true, accurate, current, complete, and not misleading;

• you have the authority and all necessary rights and consents to provide the information and documents;

• your submission does not violate any law, contract, confidentiality obligation, privacy right, intellectual-property right, or other right of any person; and

• you will promptly correct or supplement information that becomes inaccurate or incomplete.

You retain ownership of materials you submit. You grant Fifty Stones and its affiliates, employees, agents, counsel, consultants, service providers, and transaction professionals a nonexclusive right to receive, copy, review, analyze, verify, store, and use those materials as reasonably necessary to evaluate, underwrite, structure, document, close, administer, service, enforce, or comply with legal requirements relating to a potential or actual transaction. Personal information will be handled in accordance with our Privacy Policy and applicable law.

Fifty Stones may, where lawful and appropriate, verify submitted information through public records, title and lien searches, property records, references, background reviews, sanctions screening, anti-money-laundering procedures, fraud-prevention tools, and other due diligence. Any consumer report or similar regulated report will be obtained only with the authorization or other lawful basis required by applicable law.

Do not submit Social Security numbers, bank login credentials, full payment-card information, or similarly sensitive information through a general contact form or ordinary email. Submit sensitive information only when requested and through a secure method designated by Fifty Stones.
 

6. No Confidential, Fiduciary, or Advisory Relationship

Your use of the Site or submission of a financing request does not create a lender-borrower, adviser-client, fiduciary, agency, partnership, joint venture, or other special relationship between you and Fifty Stones. Except as required by law or expressly provided in a separate written confidentiality agreement, engagement agreement, commitment letter, or definitive loan document, information submitted through the Site will not create a contractual duty of confidentiality.

This provision does not limit Fifty Stones’ obligations under its Privacy Policy or applicable privacy and data-security laws.
 

7. Broker and Referral Matters

Submitting a transaction through the Site does not create a broker, referral, agency, exclusivity, fee-protection, or anti-circumvention agreement and does not obligate Fifty Stones to pay any commission or fee. Any broker protection, referral compensation, exclusivity, or similar obligation must be stated in a separate written agreement signed by an authorized representative of Fifty Stones. You are solely responsible for maintaining any license, registration, disclosure, consent, or other authorization required for your activities.
 

8. Fees, Deposits, and Third-Party Costs

The Site does not establish the amount, purpose, treatment, refundability, or application of any deposit, underwriting fee, origination fee, legal fee, diligence charge, appraisal fee, or third-party cost. Those matters are governed exclusively by the applicable written quote, engagement agreement, commitment letter, deposit policy, invoice, or definitive loan document.

If these Terms conflict with a signed transaction-specific agreement, the signed transaction-specific agreement controls with respect to that transaction.
 

9. Electronic Communications

When you contact us electronically or submit information through the Site, you consent to receive communications from us electronically in response to your request, including by email, telephone, and other contact methods you provide. You agree that electronic notices, disclosures, records, and communications may satisfy any requirement that such communications be in writing, subject to any transaction-specific consent or disclosure required by applicable law.

Submitting a general inquiry does not, by itself, constitute consent to receive automated marketing calls or text messages where separate consent is required by law. Marketing communications will be sent only as permitted by applicable law, and you may use the unsubscribe or opt-out method provided in the communication.

You are responsible for keeping your contact information current and for retaining copies of communications and documents relevant to your transaction.

10. Acceptable Use

You may use the Site only for lawful purposes. You may not:

• submit false, fraudulent, deceptive, defamatory, infringing, or unlawful information;

• impersonate another person or misrepresent your identity, authority, or affiliation;

• attempt to gain unauthorized access to the Site, accounts, systems, data, or networks;

• introduce malware, malicious code, automated attacks, or harmful technology;

• scrape, harvest, copy, index, or extract Site content or data through automated means except as permitted by law or our written authorization;

• interfere with the Site’s security, operation, performance, or availability;

• use the Site to violate sanctions, anti-money-laundering, anti-fraud, privacy, intellectual-property, or other applicable laws; or

• use Fifty Stones’ name, content, or services to suggest an endorsement, approval, commitment, or affiliation that does not exist.

We may restrict or terminate access to the Site if we reasonably believe these Terms have been violated or if necessary to protect the Site, Fifty Stones, its clients, counterparties, or others.
 

11. Intellectual Property

The Site, including its design, layout, text, graphics, photographs, videos, logos, trademarks, service marks, software, and other content, is owned by or licensed to Fifty Stones and is protected by intellectual-property laws. Subject to these Terms, Fifty Stones grants you a limited, revocable, nonexclusive, nontransferable right to access and use the Site for your internal, lawful business purposes.

You may not reproduce, modify, distribute, sell, license, publish, publicly display, create derivative works from, or commercially exploit Site content without prior written permission from Fifty Stones, except as permitted by applicable law. No license or right to use any Fifty Stones name, logo, trademark, or service mark is granted by implication.
 

12. Third-Party Websites and Services

The Site may link to, integrate with, or reference third-party websites, platforms, data, tools, publications, service providers, or content. Fifty Stones does not control and is not responsible for the availability, accuracy, security, terms, privacy practices, products, services, or content of third parties. A link or reference does not constitute an endorsement, guarantee, partnership, or agency relationship. Your use of third-party services is governed by their own terms and policies.

13. Privacy and Data Security

Our collection and use of personal information through the Site are described in our Privacy Policy, which is incorporated into these Terms by reference. No internet transmission or electronic storage system is completely secure. You are responsible for using appropriate security measures when transmitting information and for notifying us promptly if you believe information submitted to Fifty Stones has been compromised.
 

14. No Government Affiliation; No Securities Offering

Fifty Stones is not affiliated with, endorsed by, or acting on behalf of any federal, state, or local government agency unless expressly stated in writing.

Nothing on the Site, including descriptions of closed transactions, company performance, market commentary, or educational content, constitutes an offer to sell or a solicitation of an offer to buy any security, fund interest, investment product, or advisory service.

15. Disclaimer of Warranties

TO THE FULLEST EXTENT PERMITTED BY LAW, THE SITE AND ALL CONTENT, FEATURES, CALCULATORS, AND SERVICES MADE AVAILABLE THROUGH IT ARE PROVIDED “AS IS” AND “AS AVAILABLE.” FIFTY STONES DISCLAIMS ALL EXPRESS, IMPLIED, AND STATUTORY WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AVAILABILITY, SECURITY, AND QUIET ENJOYMENT.

FIFTY STONES DOES NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF HARMFUL COMPONENTS, OR THAT ANY CONTENT WILL BE COMPLETE, CURRENT, OR SUITABLE FOR YOUR PARTICULAR PURPOSE. THIS SECTION DOES NOT DISCLAIM ANY WARRANTY OR OBLIGATION EXPRESSLY STATED IN A SEPARATE WRITTEN AGREEMENT SIGNED BY FIFTY STONES.
 

16. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, FIFTY STONES AND ITS AFFILIATES, OWNERS, DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, CONSULTANTS, LICENSORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES; LOSS OF PROFITS, REVENUE, DATA, BUSINESS, GOODWILL, OR OPPORTUNITY; COST OF SUBSTITUTE FINANCING; OR DAMAGES ARISING FROM A MISSED CLOSING, FAILED TRANSACTION, RELIANCE ON SITE CONTENT, UNAUTHORIZED ACCESS, SERVICE INTERRUPTION, OR THIRD-PARTY CONDUCT, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE FULLEST EXTENT PERMITTED BY LAW, THE AGGREGATE LIABILITY OF FIFTY STONES FOR CLAIMS ARISING OUT OF OR RELATING TO THE SITE OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) ONE HUNDRED DOLLARS ($100) OR (B) THE AMOUNT, IF ANY, YOU PAID FIFTY STONES SOLELY FOR ACCESS TO THE SITE DURING THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.
 

These limitations apply only to claims arising from the Site or these Terms. They do not replace the liability provisions of a separate signed transaction agreement and do not exclude liability that cannot lawfully be limited, including liability arising from fraud, willful misconduct, or gross negligence to the extent such liability cannot be waived under applicable law.
 

17. Indemnification

To the fullest extent permitted by law, you agree to defend, indemnify, and hold harmless Fifty Stones and its affiliates, owners, directors, officers, employees, agents, consultants, licensors, and service providers from claims, liabilities, damages, judgments, losses, costs, and reasonable attorneys’ fees arising out of or relating to: (a) your unlawful or unauthorized use of the Site; (b) your violation of these Terms; (c) information or materials you submit; (d) your violation of another person’s rights; or (e) your fraud, misrepresentation, or willful misconduct.

This obligation does not apply to the extent a claim results from the gross negligence, willful misconduct, or fraud of the party seeking indemnification.
 

18. Governing Law and Venue

These Terms and any dispute arising out of or relating to the Site will be governed by the laws of the State of California, without regard to conflict-of-law principles. Subject to any different dispute-resolution provision in a signed transaction-specific agreement, you and Fifty Stones consent to the exclusive jurisdiction of the state and federal courts located in San Francisco County, California, for any action arising out of or relating to these Terms or the Site.
 

19. Changes to the Site or These Terms

We may modify, suspend, or discontinue any part of the Site at any time. We may also update these Terms from time to time. Revised Terms become effective prospectively when posted with a new effective date unless a later date is stated. Your continued use of the Site after the revised Terms become effective constitutes acceptance of the revised Terms. Changes to these Terms do not amend a separately signed transaction agreement.
 

20. Miscellaneous

These Terms, together with the Privacy Policy and any additional terms expressly presented for a particular Site feature, constitute the entire agreement between you and Fifty Stones concerning use of the Site. If any provision is held invalid or unenforceable, it will be enforced to the maximum extent permitted, and the remaining provisions will remain in effect.

Fifty Stones’ failure to enforce a provision is not a waiver. You may not assign your rights or obligations under these Terms without our prior written consent. Fifty Stones may assign these Terms in connection with a merger, reorganization, transfer of assets, or operation of law. Headings are for convenience only and do not affect interpretation.
